1. Introduction

These Terms and Conditions (“Terms”) govern your access and use of the services provided by Nexus Resources Development Ltd (“Nexus”) via our digital platform. By accessing or using our platform, you (“User”, “supporter/funder/granter,” “Client”) agree to be bound by these Terms. It is vital that you read these Terms carefully. We strongly recommend that you seek independent advice when considering whether to fund a project with your money through the platform. We do not provide any advice, nor do we make any recommendations to you.

Before engaging with any opportunities on our platform, we strongly encourage you to carefully evaluate whether the services we offer align with your financial goals, risk tolerance, and personal circumstances. Participating in any project or funding activity via Nexus is entirely your decision, and you accept full responsibility for the outcomes of that choice.

Nexus does not assess your financial suitability or capacity to participate in funding opportunities. The execution of these Terms does not imply any endorsement or verification by us regarding the appropriateness of our platform or services for your individual needs.

We urge you to exercise careful judgment and only commit funds you can afford to allocate, especially considering your broader financial obligations. Funding through the platform may carry risks, including the potential loss of capital, and should only be undertaken by individuals who possess the understanding and experience to evaluate such risks independently.

By signing these Terms, or continuing to use our platform, you acknowledge that you agree to be bound by these Terms and Conditions, our Privacy Policy, and Terms of Use. You also consent to conduct transactions with us and receive all related communications in digital form.

2. Legal Status

Nexus Resources Development Ltd. (NRD) is duly registered with the Register of Joint Stock Companies and Firms of Bangladesh. The company is also recognized by the Dhaka City Corporation and the Local Government Division, ensuring full compliance with national and local regulatory requirements.

3. Eligibility and Representation

By registering with Nexus, you represent and warrant that:

  • You are providing all accurate information.
  • You are using legally obtained funds for all transactions.
  • You understand and accept the risks associated with funding our project ventures.

4. Service Model

Nexus is a technology-driven, multi-sector development platform that enables individuals and organizations to fund and support impactful development initiatives—ranging from grassroots community projects to scalable national and global programs.  

Nexus facilitates a digital platform where individuals and organizations can contribute funds to pre-approved agricultural or development projects. A project cycle begins upon receipt of your funding and concludes upon the completion of the project duration and the sale of the final produce.

Throughout the project cycle, you will receive regular updates via our digital platform regarding the progress and status of the project. It is your responsibility to review all notifications, reports, and updates provided by Nexus, as these serve as the official record of your funding activity.

Please note that Nexus does not offer investment advice or guarantee any specific financial returns. All contributions are made at your own discretion and risk.

4. Funding Terms

  • Your funding covers all farming costs, including land lease, inputs (seed/livestock, fertilizer), maintenance, and administration.
  • Once contributed, funds are locked for the entire farming cycle and non-refundable until completion.
  • Payments made via cheque, pay order, or bank deposit are confirmed upon clearance in Nexus ’s account.
  • Upon successful digital funding, you will receive an email acknowledgment, provided all requirements are met. For cheque-based contributions, an official receipt will be issued by authorized personnel.
  • Profits (if any) are transferred to your registered bank account after harvest and sale of produce.
  • At cycle end, you may choose to withdraw your funds or reinvest in a new cycle under prevailing terms. Any excess amount will be returned to your account.
  • Earnings and terms vary by farm category (Shariah-compliant and non-Shariah-compliant), details of which are shared per project.
  • In case of government or regulatory changes, Nexus reserves the right to adjust earnings rates accordingly.
  • Disbursements are made via cheque, account transfer, or BEFTN. Delays may occur due to incomplete bank info, unresponsiveness, banking holidays, or force majeure. Nexus will notify customers of anticipated delays where possible.Bottom of Form

5. Payment & Acknowledgement

  • Accepted methods: Bank transfer, cheque, or verified digital payment.
  • You will receive confirmation of funding via email or dashboard notification.
  • Nexus is not responsible for delays in fund transfer due to banking issues, public holidays, or force majeure.

6. Legal Incapacity or Death

In case of death or legal incapacity of a funder, profits or outstanding amounts will be paid to the designated nominee. If no nominee exists, the amount will be processed upon submission of appropriate succession documentation.

7. Access and Security

Users are responsible for securing their login credentials. Unauthorized use must be reported immediately. Any misuse or attempt to tamper with the platform may result in termination of access.

8. Anti-Money Laundering Compliance

Nexus complies with national and international anti-money laundering (AML) laws. The Platform must not be used for money laundering or any unlawful financial activities. If any suspicious transactions are detected or if there is reason to believe the platform is being misused for such purposes, we have an obligation to report your activities to the relevant authorities without recourse to you.

9. Intellectual Property

All content, logos, data, and tools on this site are the intellectual property of Nexus and may not be copied, distributed, or reproduced without written consent.

10. Farm Visits

Funders may request to visit their supported farm, subject to:

  • Written request with advance notice.
  • Confirmation of vaccination (if applicable).
  • Signing a Non-Disclosure Agreement and indemnity form.
  • Covering all travel and logistical expenses.

11. Comments and User Content

Users may post comments in designated areas but must not:

  • Post illegal, defamatory, or offensive content.
  • Violate copyright or IP laws.
  • Use the platform to promote unrelated commercial activity.

Nexus reserves the right to monitor and remove inappropriate content.

12. Hyperlinking Policy

Only select institutions may link to our website without written approval (e.g., government bodies, educational institutions). We reserve the right to revoke linking permissions and update policies without notice.

13. Termination

These Terms remain in effect unless:

  • You request termination in writing and have no active funding cycles.
  • We suspend or terminate access due to violation of our terms or suspicious activity.

14. Taxes

Users are responsible for reporting and paying any applicable taxes on earnings. Nexus does not withhold taxes unless legally required.

15. Refund Policy

  • Refund requests (non-Shariah projects) must be submitted within 5 business days of funding confirmation.
  • No refunds for Shariah-compliant projects.
  • Refunds require valid proof of payment and may take up to seven working days.
  • A 2.5% processing fee applies. Refunds will be issued via bank transfer only.

16. Limitation of Liability

Nexus is not liable for any losses arising from:

  • Project underperformance.
  • Platform downtime or technical issues.
  • Misuse of the platform by users.

To the extent permitted by law, our liability is limited to the amount you contributed.

17. Indemnification

You agree to indemnify Nexus, its partners, and staff from any claims, losses, or damages arising from your use of the platform, breach of these Terms, or violation of applicable laws.

18. Privacy and Data

By using our services, you agree to our [Privacy Policy]. We respect your privacy and only collect data essential for providing and improving our services.

 

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of Bangladesh. Disputes not resolved within 30 days of notification will be settled through arbitration under the Arbitration Act, 2001.

20. Changes to These Terms

We reserve the right to modify these Terms with 14 days’ notice. Continued use of the platform after changes implies acceptance of the revised terms.
